Corporate litigation: legal disputes within the company

When a legal dispute arises within or around a corporation, we refer to it as corporate litigation. For example, this can involve a dispute between shareholders, between shareholders and directors, between directors themselves, or with certificate holders. Such conflicts directly affect corporate law and can have a significant impact on the continuity of the company.

Common disputes and arrangements

The law provides various options for resolving corporate law disputes. In addition to going to court, there are three important arrangements:

  • Buyout scheme: this allows a shareholder to be forced to transfer their shares.
  • Compulsory acquisition: this allows a majority shareholder to buy out the minority shareholder.
  • Inquiry procedure: a special procedure where the Enterprise Chamber investigates the policy and state of affairs within the company.

These procedures are initiated with a petition to the Enterprise Chamber of the Court of Appeal in Amsterdam. Since January 1, 2025, disputes regarding corporations will no longer be started at the court, but directly with this specialized body. There is no possibility of appeal in these matters.
